The Architecture of the AI Act: A New Global Benchmark
The European Union’s Artificial Intelligence Act, officially Regulation (EU) 2024/1689, represents the world’s first comprehensive, horizontal legal framework for AI.1 Entering into force on August 1, 2024, with a phased implementation timeline stretching from six to 36 months, the Act establishes a uniform set of rules for the development, placement on the market, and use of AI systems within the Union.2 Its core philosophy is to foster a human-centric approach to AI, ensuring that these powerful technologies are developed and used in accordance with the EU’s fundamental values of safety, democracy, and fundamental rights.5 By creating legal certainty, the regulation aims to build public trust, which is seen as a prerequisite for encouraging investment and solidifying Europe’s position as a leader in secure and trustworthy AI innovation.5
The Act’s extraterritorial scope is one of its most significant features, extending its reach far beyond the EU’s physical borders. It applies not only to providers and deployers of AI systems established within the EU but also to any entity, regardless of its location, that places an AI system on the EU market or whose system’s output is used within the Union.8 This broad application effectively makes compliance a global imperative for any organization with ambitions in the European market.
The regulation employs a deliberately broad and technology-agnostic definition of an “AI System” to ensure its longevity and applicability to future technological advancements. An AI system is defined as “a machine-based system that is designed to operate with varying levels of autonomy and that may exhibit adaptiveness after deployment, and that, for explicit or implicit objectives, infers, from the input it receives, how to generate outputs such as predictions, content, recommendations, or decisions that can influence physical or virtual environments”.8 This definition focuses on the functional capabilities of autonomy and inference, distinguishing AI from traditional, non-adaptive software.8
Furthermore, the Act establishes clear roles and responsibilities for different actors in the AI value chain. The most critical roles are the “Provider,” the entity that develops an AI system with a view to placing it on the market or putting it into service under its own name, and the “Deployer” (referred to as “user” in earlier drafts), which is any natural or legal person using an AI system under its authority in a professional capacity.13 The Act also outlines obligations for importers and distributors, ensuring accountability at every stage of the AI lifecycle.9
The Risk-Based Pyramid: A Stratified Approach to Regulation
The cornerstone of the AI Act is its proportionate, risk-based approach, which classifies AI systems into a four-tiered pyramid of risk. This structure allows for a calibrated regulatory response, imposing the strictest rules on systems with the highest potential for harm while allowing innovation to flourish in low-risk applications.2
Unacceptable Risk: Prohibited Practices
At the apex of the pyramid are AI practices deemed to pose an “unacceptable risk” because they represent a clear threat to the safety, livelihoods, and fundamental rights of people. These systems are outright banned from the EU market.6 The Act provides an exhaustive list of eight prohibited practices 17:
- Harmful Manipulation: Systems that deploy subliminal, manipulative, or deceptive techniques to materially distort a person’s behavior, impairing their ability to make an informed decision and causing significant harm.11
- Exploitation of Vulnerabilities: AI that exploits the vulnerabilities of a specific group of persons due to their age, disability, or social or economic situation to distort their behavior in a manner that causes significant harm.11 An example is a voice-activated toy that encourages dangerous behavior in children.1
- Social Scoring: The evaluation or classification of individuals or groups over a certain period based on their social behavior or personal characteristics, where the resulting score leads to detrimental or unfavorable treatment that is unjustified or disproportionate.2
- Real-Time Remote Biometric Identification: The use of such systems in publicly accessible spaces for law enforcement purposes is banned, with very narrow and strictly defined exceptions for serious crimes like terrorism, all requiring prior judicial authorization.1
- Untargeted Scraping of Facial Images: The untargeted scraping of facial images from the internet or CCTV footage to create or expand facial recognition databases.17
- Emotion Recognition in the Workplace and Education: The use of AI to infer emotions of individuals in the workplace or in educational institutions, except for medical or safety reasons.11
- Biometric Categorization: Systems that use biometric data to categorize individuals based on sensitive attributes such as race, political opinions, trade union membership, religious beliefs, or sexual orientation.11
- Predictive Policing: AI systems that perform risk assessments of individuals to predict the risk of them committing a criminal offense based solely on profiling or personality traits.17
High-Risk AI Systems (HRAIS): The Core of the Regulation
The vast majority of the AI Act’s regulatory burden is focused on High-Risk AI Systems (HRAIS), a category that is not prohibited but is subject to a stringent set of legal requirements and conformity assessments before it can be placed on the market.8 An AI system is classified as high-risk if it falls into one of two main categories 1:
- Category 1 (Annex I): The AI system is a product, or a safety component of a product, that is already covered by existing EU product safety legislation (the “New Legislative Framework”). This includes products like medical devices, machinery, toys, vehicles, and lifts. A system in this category is only considered high-risk if the underlying product safety legislation already requires it to undergo a third-party conformity assessment.8
- Category 2 (Annex III): The AI system falls into one of eight specific, exhaustively listed areas where its use poses a significant risk to health, safety, or fundamental rights.8 These areas are:
- Biometric identification and categorization of natural persons.
- Management and operation of critical infrastructure.
- Education and vocational training (e.g., scoring exams, assessing access to institutions).
- Employment, workers management, and access to self-employment (e.g., CV-sorting software for recruitment).
- Access to and enjoyment of essential private and public services and benefits (e.g., credit scoring).
- Law enforcement.
- Migration, asylum, and border control management (e.g., automated examination of visa applications).
- Administration of justice and democratic processes.
A crucial nuance within the regulation is a derogation clause for systems listed in Annex III. Such a system is not considered high-risk if it does not pose a “significant risk of harm to the health, safety or fundamental rights of natural persons” and does not “materially influence the outcome of decision making”.19 This provides an “off-ramp” for simpler applications, such as those performing narrow procedural tasks or improving the result of a previously completed human activity. However, this is not a simple loophole. The default classification for an Annex III system is high-risk. To utilize the derogation, the provider must take the affirmative step of documenting a thorough assessment justifying its conclusion and must register this assessment in the public EU database.8 This effectively shifts the burden of proof to the provider, who must be prepared to defend their assessment to national competent authorities. Any system that performs profiling of natural persons is always considered high-risk, with no possibility of derogation.19
Limited Risk: The Mandate for Transparency
For AI systems that do not qualify as high-risk but may still pose risks of deception or manipulation, the Act imposes specific, lighter transparency obligations.11 The goal is to ensure that individuals are aware and can make informed decisions. Key requirements include:
- AI Interaction Disclosure: Deployers of systems intended to interact with humans, such as chatbots, must ensure that individuals are informed that they are interacting with an AI system.11
- AI-Generated Content Labeling: Content generated or manipulated by AI systems, such as “deepfakes” or other synthetic audio, image, video, or text, must be clearly and verifiably labeled as artificially generated.1
Minimal Risk: Freedom with Encouragement
The base of the pyramid comprises the vast majority of AI applications, which are deemed to pose minimal or no risk. This category includes systems like AI-enabled video games or spam filters.6 These systems are not subject to any legal obligations under the Act, and their use is permitted freely. However, the Act encourages providers of such systems to voluntarily adopt codes of conduct to uphold principles of trustworthy AI.13
Obligations for High-Risk AI Systems: A Comprehensive Compliance Framework
Providers and, to a lesser extent, deployers of HRAIS must adhere to a comprehensive set of requirements detailed in Chapter 3 of the Act. These obligations are designed to ensure safety and protect fundamental rights throughout the system’s entire lifecycle.
Quality Management System (QMS)
Under Article 17, providers must establish, document, and maintain a robust Quality Management System. This system is the organizational backbone for ensuring compliance with the Act. It must include a strategy for regulatory compliance, as well as systematic procedures for the design, design control, development, quality assurance, and testing of the HRAIS.11
Risk Management System
Article 9 mandates a continuous and iterative Risk Management System that runs throughout the AI system’s entire lifecycle.16 This process requires the provider to systematically identify known and reasonably foreseeable risks to health, safety, and fundamental rights. Following identification, these risks must be estimated and evaluated, and appropriate risk management measures must be adopted to ensure that any residual risk associated with the system is judged acceptable.16
Data Governance and Quality
To combat the risk of discriminatory outcomes, Article 10 imposes strict data governance obligations. Training, validation, and testing datasets must be subject to appropriate governance and management practices. Crucially, these datasets must be relevant, sufficiently representative, and, to the best extent possible, free of errors and complete for the system’s intended purpose.16 This requires a proactive examination of datasets for potential biases and the implementation of measures to detect, prevent, and mitigate them.22 The quality of the data is not just a technical consideration; it is a legal requirement fundamental to the safety and fairness of the HRAIS.
Technical Documentation and Record-Keeping
Providers must create and maintain extensive technical documentation before the HRAIS is placed on the market, as stipulated in Article 11.16 The specific contents, detailed in Annex IV, are designed to provide a clear and comprehensive demonstration of the system’s compliance with the Act’s requirements.23 This documentation includes a general description of the system, its intended purpose, the methods used in its development, datasheets describing the training data, validation and testing procedures, and information on the risk management system and post-market monitoring plan.23
In parallel, Article 12 requires that HRAIS be designed with logging capabilities. These systems must automatically and securely record events (logs) throughout their lifetime to ensure a level of traceability appropriate to the system’s intended purpose.11 These logs are essential for monitoring the system’s operation, investigating incidents, and verifying compliance. Deployers are obligated to keep these logs for a period of at least six months.24
Transparency and Human Oversight
A core principle of the Act is ensuring effective human control over high-risk systems. Article 13 mandates transparency, requiring providers to supply deployers with clear and adequate information, including instructions for use. This information must detail the system’s capabilities, limitations, accuracy levels, and the specific human oversight measures that are necessary for its safe operation.16
Article 14 builds on this by requiring that HRAIS be designed and developed in such a way that they can be effectively overseen by natural persons during their period of use. This includes implementing appropriate human-machine interface tools, such as the ability to intervene in the system’s operation or a “stop” button to halt it safely.16 The individuals assigned to oversight must have the necessary competence, training, and authority to understand the system’s outputs, monitor for anomalies, and decide when to disregard, override, or reverse a decision.16
Accuracy, Robustness, and Cybersecurity
Under Article 15, HRAIS must be designed to achieve an appropriate level of accuracy, robustness, and cybersecurity for their intended purpose.17 Robustness entails resilience against errors, faults, or inconsistencies that may occur within the system or the environment in which it operates. Cybersecurity requires that the system be resilient against attempts by unauthorized third parties to alter its use, behavior, or performance, which could exploit system vulnerabilities.16
Obligations for Deployers
While the majority of obligations fall on providers, Article 26 outlines specific responsibilities for deployers of HRAIS. They must use the system in accordance with its instructions for use, assign competent and trained individuals for human oversight, monitor the system’s operation, and keep the automatically generated logs.13 If a deployer has reason to believe a system presents a risk, they must inform the provider and relevant authorities. Furthermore, before using an HRAIS in a workplace, employers must inform workers’ representatives and the affected workers.24 For certain public sector deployers, a Fundamental Rights Impact Assessment must be conducted and published prior to putting the system into service.2

Conformity, Certification, and Market Access
To legally place an HRAIS on the EU market, providers must navigate a formal process of conformity assessment, certification, and registration, which is central to the Act’s product safety approach.26
As mandated by Article 43, every HRAIS must undergo a conformity assessment before it is placed on the market or put into service.13 The specific procedure depends on the type of system. For certain HRAIS, particularly those that are safety components of products under Annex I, a third-party conformity assessment conducted by an independent “Notified Body” is mandatory.11 These bodies are designated by national authorities to assess the conformity of products before they are placed on the market. For other HRAIS, providers may be permitted to conduct an internal control or self-assessment.27
Upon the successful completion of the conformity assessment, the provider must, under Article 47, draw up and sign a formal EU Declaration of Conformity. This legal document attests that the HRAIS meets all the relevant requirements of the Act.20 Following this declaration, the provider is obligated under Article 48 to affix the “Conformité Européenne” (CE) marking to the HRAIS.20 The CE marking must be visible, legible, and indelible. For digital-only systems, a digital CE marking is permitted.27 This marking signals to regulators and consumers that the product complies with EU law and allows it to move freely within the single market.31
Finally, as per Article 49, providers of standalone HRAIS must register both themselves and their systems in a public EU database before market entry.8 This creates a transparent registry of high-risk systems operating within the Union.
Governance of General-Purpose AI (GPAI)
Recognizing that powerful and versatile foundation models like ChatGPT or GPT-4 present unique challenges that do not fit neatly into the use-case-specific risk pyramid, the final text of the AI Act introduced a distinct, two-tiered regulatory regime for General-Purpose AI (GPAI) models.1
All providers of GPAI models are subject to a baseline set of transparency-focused obligations. These include maintaining and making available detailed technical documentation of the model, providing comprehensive information and instructions to downstream providers who integrate the model into their own AI systems, establishing a policy to respect EU copyright law during training, and publishing a sufficiently detailed summary of the content used for training the model.1
A specific subset of GPAI models that are deemed to pose “systemic risks” are subject to a more stringent set of requirements. A model is designated as having systemic risk primarily if the cumulative amount of computation used for its training exceeds a high threshold (10^25 floating-point operations) or if it is otherwise designated by the Commission.2 In addition to the baseline GPAI obligations, providers of these high-impact models must perform model evaluations, assess and mitigate potential systemic risks, track and report serious incidents to the AI Office, and ensure a high level of cybersecurity protection for the model.1
This dual regulation of GPAI creates a complex compliance cascade. The provider of the foundational GPAI model has its own set of obligations. However, if a downstream company takes that GPAI model and integrates it into an application with a high-risk intended purpose—for example, using a large language model to build a CV-sorting tool for recruitment—that downstream company becomes the “provider” of a new HRAIS.32 As the provider of the final high-risk system, that company is then fully responsible for meeting all the stringent HRAIS obligations outlined in Chapter 3, including risk management, data governance, conformity assessment, and CE marking. This means that responsibility cannot be deferred to the original GPAI developer; rather, it is layered, with each actor in the value chain assuming the obligations relevant to their role and the risk profile of the final product they place on the market.
Part II: Implementing ISO 42001: Building a Robust AI Management System (AIMS)
Introduction to Management System Standards
Published in December 2023, ISO/IEC 42001 is the world’s first international management system standard for Artificial Intelligence.33 It provides organizations with a structured framework for establishing, implementing, maintaining, and continually improving an Artificial Intelligence Management System (AIMS).33 An AIMS is a comprehensive set of interrelated policies, processes, procedures, and controls designed to help an organization manage its AI-related activities responsibly and ethically throughout the entire system lifecycle.33
The standard is designed to be universally applicable to any organization, regardless of size, type, or sector, that provides or uses AI-based products or services.6 It follows the common high-level structure (known as Annex L) shared by other widely adopted ISO management system standards, such as ISO/IEC 27001 for Information Security and ISO 9001 for Quality Management.25 This structural consistency facilitates the integration of an AIMS with an organization’s existing governance, risk, and compliance (GRC) frameworks. At its core, ISO 42001 is built upon the Plan-Do-Check-Act (PDCA) continual improvement cycle, ensuring that AI governance is not a one-time project but an evolving, dynamic process.9
Deconstructing the AIMS Framework (Clauses 4-10)
The certifiable requirements of ISO 42001 are detailed in Clauses 4 through 10. These clauses provide the blueprint for building and operating an effective AIMS.32
- Clause 4: Context of the Organization: This foundational clause requires the organization to determine its internal and external context relevant to AI. This involves identifying key stakeholders (e.g., customers, employees, regulators, society) and understanding their needs and expectations, as well as considering the legal, ethical, and competitive landscape. Based on this analysis, the organization must define and document the precise scope and boundaries of its AIMS.32
- Clause 5: Leadership: This clause emphasizes that effective AI governance must be driven from the top. It mandates that senior leadership demonstrate commitment by establishing a formal AI policy, ensuring the AIMS is aligned with the organization’s strategic direction, and clearly defining and communicating roles, responsibilities, and authorities for AI governance.37
- Clause 6: Planning: This clause is the heart of the risk management process within the AIMS. It requires the organization to establish a formal process to identify, analyze, and evaluate AI-related risks and opportunities. Crucially, it mandates two distinct but related assessments: an AI risk assessment, which focuses on risks to the organization’s objectives, and an AI system impact assessment, which evaluates the potential consequences of an AI system on individuals, groups, and society as a whole.37 This dual-assessment requirement compels a broader, more ethical consideration of an AI system’s effects beyond traditional corporate risk management, aligning the framework with the human-centric principles of regulations like the EU AI Act. Based on these assessments, the organization must define a risk treatment plan and set measurable AI objectives.38
- Clause 7: Support: This clause addresses the resources necessary to sustain the AIMS. The organization must provide adequate resources (financial, technical, and human), ensure personnel involved in AI governance are competent through training and awareness programs, establish effective internal and external communication channels, and create and maintain the necessary documented information to support the AIMS.37
- Clause 8: Operation: This is the “Do” phase of the PDCA cycle, focusing on the operationalization of the AIMS. It requires the organization to plan, implement, and control the processes needed to manage the entire AI system lifecycle—from design, data acquisition, and model development to verification, validation, deployment, and decommissioning. These operational processes must be aligned with the risk and impact assessments conducted during the planning phase.37
- Clause 9: Performance Evaluation: The “Check” phase requires the organization to monitor, measure, analyze, and evaluate the performance and effectiveness of the AIMS. This is achieved through systematic activities such as conducting regular internal audits and formal management reviews to ensure the AIMS remains suitable, adequate, and effective.32
- Clause 10: Improvement: The “Act” phase embodies the principle of continual improvement. The organization must identify and address any nonconformities with the standard’s requirements, implement corrective actions, and continually enhance the AIMS to adapt to new risks, technologies, and stakeholder expectations.37
The systemic nature of the AIMS framework forces an organization to move beyond managing AI on a project-by-project basis. By mandating a single, scoped management system with top-level accountability, standardized risk processes, and centralized oversight, ISO 42001 provides a blueprint for a central governance hub. This transforms a collection of disparate AI initiatives into a coherently managed and governed program, which is essential for achieving consistent, scalable, and auditable compliance.
The Role of Annexes A & B: From Assessment to Action
To translate the high-level requirements of the main clauses into practical action, ISO 42001 provides two informative annexes:
- Annex A: Reference control objectives and controls: This annex provides a comprehensive catalog of 39 control objectives and associated controls that organizations can implement to mitigate the AI risks identified in Clause 6.38 These controls cover a wide range of topics, including AI governance policies, data management, model transparency, security, and lifecycle management. Organizations are required to produce a “Statement of Applicability” (SoA), a key document that lists all Annex A controls, indicates whether each has been implemented, and provides a justification for any exclusions.37
- Annex B: Implementation guidance for AI controls: This annex offers practical, detailed guidance on how to implement the controls listed in Annex A.37 It serves as a valuable resource for practitioners, providing context and best practices for operationalizing the AIMS.
The Path to Certification: Demonstrating Conformance
While adoption of ISO 42001 is voluntary, an organization can choose to undergo a formal certification process to have its AIMS independently verified by an accredited third-party certification body.9 This process provides external validation of the organization’s commitment to responsible AI governance and can enhance trust with stakeholders. The certification process typically involves a multi-stage audit 45:
- Stage 1 Audit: This is primarily a documentation review and readiness assessment. The auditor evaluates the design of the AIMS—including its scope, policies, risk assessment methodology, and Statement of Applicability—to confirm that it aligns with the requirements of the standard.47
- Stage 2 Audit: This is a more in-depth audit that assesses the implementation and operational effectiveness of the AIMS. The auditor will seek evidence that the defined policies and controls are being consistently followed in practice across the organization.47
- Certification and Surveillance: If the Stage 2 audit is successful, the certification body issues an ISO 42001 certificate, which is typically valid for three years. To maintain the certification, the organization must undergo annual surveillance audits to ensure the AIMS is being maintained and continually improved.44
Part III: Bridging the Gap: A Comparative Analysis of the EU AI Act and ISO 42001
Understanding the relationship between the EU AI Act and ISO 42001 is critical for developing an efficient and effective compliance strategy. While they share the common goal of promoting trustworthy AI, they are fundamentally different instruments with distinct scopes, legal force, and focuses. Recognizing both their synergies and their gaps is the key to leveraging them in concert.
Fundamental Differences: Law vs. Standard
The primary distinction lies in their nature and legal authority. The EU AI Act is a binding legal regulation, a piece of “hard law” that is mandatory for any organization falling within its scope.9 Non-compliance carries the risk of severe financial penalties—up to €35-40 million or 7% of a company’s worldwide annual turnover—and the potential for products to be withdrawn from the EU market.8
In contrast, ISO 42001 is a voluntary international standard, a form of “soft law”.9 Organizations choose to adopt it to improve their internal processes and demonstrate a commitment to best practices. There are no legal penalties for failing to adopt the standard; its enforcement mechanism is the certification audit process and the pressures of market and stakeholder expectations.9
Their core focus also differs. The AI Act is fundamentally a product safety framework, with its primary objective being the protection of the health, safety, and fundamental rights of individuals from the risks posed by AI systems placed on the market.50 ISO 42001, on the other hand, is a management system standard. Its focus is internal, providing a blueprint for an organization to establish a holistic and integrated governance structure to manage its AI activities responsibly and systematically.50

The AI Act creates the legal “demand” for auditable, systematic AI governance, while ISO 42001 provides the operational “supply”—a globally recognized blueprint for building the very systems and processes needed to meet that demand. The harsh penalties of the Act provide a powerful business case for investing in a robust AIMS, and the AIMS, in turn, provides the structure to systematically manage compliance and avoid those penalties.

No ISO certificate can shield an organization from legal action if it deploys a prohibited system like social scoring in the EU.25
- EU-Specific Market Access Procedures: The entire product safety apparatus of the AI Act—including the mandatory conformity assessment process, the involvement of Notified Bodies, the drafting of a formal EU Declaration of Conformity, and the affixing of the CE marking—is specific to EU law and falls outside the scope of ISO 42001.25
- Specific Legal Obligations: The AI Act contains highly specific legal duties that have no direct equivalent in the more flexible ISO standard. These include the mandatory reporting of serious incidents to national market surveillance authorities and the legal obligation to cooperate with these authorities during investigations.16
- Prescriptive Details: In some areas of overlap, the AI Act is more prescriptive. For example, while both frameworks require record-keeping, the Act specifies a minimum retention period of six months for logs generated by HRAIS used by deployers, a detail not found in the standard.24

Viewing AI governance solely through the lens of risk mitigation and cost is a strategic mistake. When implemented effectively, a robust governance framework becomes a powerful driver of business value and a significant competitive advantage.
